  • making it easier for the Receiver and the Provider to locate, communicate, arrange payment and deliver the services in a fast and secure manner (the ‘Services’).

2. The Website is operated by ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY (ABN 20 721 830 038) . Access to and use of the Website, or any of its associated products or Services, is provided by ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY. Please read these terms and conditions (the ‘Terms’) carefully. By using, browsing and/or reading the Website, this signifies that you have read, understood and agree to be bound by the Terms. If you do not agree with the Terms, you must cease usage of the Website, or any of its products or Services, immediately.

  • any content that you broadcast, publish, upload, transmit, post or distribute on the Website (‘Your Content’) will always be accurate, correct and up to date and you will maintain reasonable records of Your Content.
  • you agree not to harass, impersonate, stalk, threaten another Member of the Website (where interaction with other Members is made available to you);
  • access and use of the Website is limited, non-transferable and allows for the sole use of the Website by you for the purposes of providing the Services;
  • you will not use the Services or the Website in connection with any
  • commercial endeavours except those that are specifically endorsed or approved by the management of ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY;
  • you will not use the Services or Website for any illegal and/or unauthorised use which includes collecting email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorised framing of or linking to the Website;
  • you agree that commercial advertisements, affiliate links and other forms of solicitation may be removed from Member profiles without notice and may result in termination of the Services. Appropriate legal action will be taken by ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY for any illegal or unauthorised use of the Website; and
  • you acknowledge and agree that any automated use of the Website or its Services is prohibited.

Using the Website as the Receiver

Using the Website as the Provider

1. You must supply the services or products specified in a work order:

To the reasonable satisfaction of the buyer and to the standard set out in the work order.

In a manner that equals or exceeds the standard expected of a seller experienced and qualified in the performance of similar services or provision of similar products.

At a price no less favourable than the pricing offered by you in your application to be a registered seller, unless the circumstances warrant alternative pricing and that alternative pricing can be justified. This obligation does not apply to discretionary costs specified in a work order (for example, travel).

In accordance with the Digital Service Standard and any other relevant standards, industry better practice and guidelines, including any specified in the work order.

In accordance with the buyer policies, legal and specific terms or requirements, set out in a work order or notified to you in writing.

You must advise us immediately if you become non-compliant with any of these requirements.

You must ensure:

  • You have all rights, titles, licences, interests and property necessary to lawfully perform the services or provide the products.
  • The products or services will be fit for the purpose as set out in the applicable work order.
  • You will continue to hold all insurance policies specified in the work order or as are appropriate for the services or provision of the products.
  • You update your disclosures by editing your Community Marketplace seller profile if any of the information relating to your disclosures changes.
  • If you do not do these things ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY may terminate this agreement and a buyer may terminate any affected work order without liability to us or the buyer.

Payment

1. By ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY offering the Services to you, you agree that:

  • Payments by the Receiver or Provider may be applicable.

2. All payments made in the course of your use of the Services are made using Braintree; PayPal; Pin Payments; Stripe . In using the Website, the Services or when making any payment in relation to your use of the Services, you warrant that you have read, understood and agree to be bound by the Braintree; PayPal; Pin Payments; Stripe terms and conditions which are available on their website.

Refund Policy

1. Since ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY is only a facilitator in introducing the Receiver to the Provider and providing a system to make safe payment, ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY does not hold any liability to the Receiver directly and will not personally refund them any payments made in the use of Services.

2. Notwithstanding the above clause, if a Receiver is unsatisfied with the services provided by the Provider or believes that they may be entitled to a refund, then ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY requires the Receiver to:

  • contact the Provider directly to request a refund; and
  • if contacting the Provider is not successful after fourteen (14) days, contact ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY through the ‘Contact Us’ section of the Website outlining why you believe you are entitled to a refund so we are able to determine if the Provider should be removed from the Services.

3. If contacted by a Receiver who is requesting a refund pursuant to the above clause, the Provider agrees that it will immediately:

  • complete the ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY refund request form (the ‘Request Form’) provided on the Website; and
  • provide both the Request Form and the email from the Receiver requesting the refund to ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY.

4. If the Provider agrees to a refund it is acknowledged that the Provider will instruct ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY to refund all or part of the payments made to the Receiver directly, less any fees and charges incurred by ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY in processing the refund.

5. Both the Receiver and Provider agree that they will comply with the Refund Policy contained in this Clause of these Terms.

Copyright and Intellectual Property

1. The Website, the Services and all of the related products of ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY are subject to copyright. The material on the Website is protected by copyright under the laws of Australia and through international treaties. Limitation of Liability

1. ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY’s total liability arising out of or in connection with the Services or these Terms, however arising, including under contract, tort (including negligence), in equity, under statute or otherwise, will not exceed the resupply of the Services to you.

2. 3. You acknowledge and agree that ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY holds no liability for any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you as a result of providing Your Content to the Website.

Termination of Contract

1. If you want to terminate the Terms, you may do so by providing ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY with 14 days’ notice of your intention to terminate by sending notice of your intention to terminate to ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY via the ‘Contact Us’ link on our homepage.

3. Subject to local applicable laws, ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY reserves the right to discontinue or cancel your membership at any time and may suspend or deny, in its sole discretion, your access to all or any portion of the Website or the Services without notice if you breach any provision of the Terms or any applicable law or if your conduct impacts ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY’s name or reputation or violates the rights of those of another party.

4. When the Terms come to an end, all of the legal rights, obligations and liabilities that you and ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY have benefited from, been subject to (or which have accrued over time whilst the Terms have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions of this clause shall continue to apply to such rights, obligations and liabilities indefinitely.

Indemnity

1. You agree to indemnify ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY, its affiliates, employees, agents, contributors, third party content providers and licensors from and against:

  • all actions, suits, claims, demands, liabilities, costs, expenses, loss and damage (including legal fees on a full indemnity basis) incurred, suffered or arising out of or in connection with Your Content;
  • any direct or indirect consequences of you accessing, using or transacting on the Website or attempts to do so; and/or
  • any breach of the Terms.

Dispute Resolution

1 Compulsory:

If a dispute arises out of or relates to the Terms, either party may not commence any Tribunal or Court proceedings in relation to the dispute, unless the following clauses have been complied with (except where urgent interlocutory relief is sought).

2. Notice:

A party to the Terms claiming a dispute (‘Dispute’) has arisen under the Terms, must give written notice to the other party detailing the nature of the dispute, the desired outcome and the action required to settle the Dispute.

3. Resolution:

On receipt of that notice (‘Notice’) by that other party, the parties to the Terms (‘Parties’) must:

  • Within 14 days of the Notice endeavour in good faith to resolve the Dispute expeditiously by negotiation or such other means upon which they may mutually agree;
  • If for any reason whatsoever, 14 days after the date of the Notice, the Dispute has not been resolved, the Parties must either agree upon selection of a mediator or request that an appropriate mediator be appointed by the President of the Small Business Development Corporation or his or her nominee;
  • The Parties are equally liable for the fees and reasonable expenses of a mediator and the cost of the venue of the mediation and without limiting the foregoing undertake to pay any amounts requested by the mediator as a pre-condition to the mediation commencing. The Parties must each pay their own costs associated with the mediation;
  • The mediation will be held in Perth, Australia.

4. Confidential

All communications concerning negotiations made by the Parties arising out of and in connection with this dispute resolution clause are confidential and to the extent possible, must be treated as “without prejudice” negotiations for the purpose of applicable laws of evidence.

5. Termination of Mediation:

If 8 weeks have elapsed after the start of a mediation of the Dispute and the Dispute has not been resolved, either Party may ask the mediator to terminate the mediation and the mediator must do so.

Venue and Jurisdiction

The Services offered by ROTARY CLUB OF MARGARET RIVER (INC) ROTARY DIRECTORY is intended to be viewed by residents of Australia. In the event of any dispute arising out of or in relation to the Website, you agree that the exclusive venue for resolving any dispute shall be in the courts of Western Australia, Australia.

Governing Law

The Terms are governed by the laws of Western Australia, Australia. Any dispute, controversy, proceeding or claim of whatever nature arising out of or in any way relating to the Terms and the rights created hereby shall be governed, interpreted and construed by, under and pursuant to the laws of Western Australia, Australia, without reference to conflict of law principles, notwithstanding mandatory rules. The validity of this governing law clause is not contested. The Terms shall be binding to the benefit of the parties hereto and their successors and assigns.

Independent Legal Advice

Both parties confirm and declare that the provisions of the Terms are fair and reasonable and both parties having taken the opportunity to obtain independent legal advice and declare the Terms are not against public policy on the grounds of inequality or bargaining power or general grounds of restraint of trade.

Severance

If any part of these Terms is found to be void or unenforceable by a Court of competent jurisdiction, that part shall be severed and the rest of the Terms shall remain in force.
